Terms of Use

Pre-launch draft. Snapell is in a pre-launch period in Australia. These Terms are the draft we operate under while we sign up our waitlist. A lawyer-reviewed version, replacing this copy, is published before we accept any paid transaction.

1. Who we are

Snapell Pty Ltd (“Snapell”, “we”, “us”) is an Australian company operating a clothing resale marketplace. We are registered in Australia and operate in Australia only at launch.

2. Acceptance

By creating an account, submitting a photo of an item for sale, or buying an item, you agree to be bound by these Terms of Use and the role-specific document that applies to you. If you do not agree, do not use the marketplace.

3. What Snapell is

Snapell is an online marketplace that connects sellers of second-hand clothing with approved resellers. We use AI to appraise the items sellers submit and to make an offer on the spot. We are an "Electronic Distribution Platform" under Australian GST law. We do not own or take title to the items listed on the marketplace, and we are not a party to the sale between a seller and a reseller.

4. Eligibility

You must be at least 18 years old and an Australian resident to use the marketplace. Resellers must additionally be a sole trader or registered company. Sellers must complete identity verification with our payments provider (Stripe Connect Express) before any payout is released.

5. Your account

You are responsible for keeping your sign-in credentials secure and for everything done under your account. We sign you in with a magic link sent to your email; treat that link as a password. Tell us at once if you suspect someone else has accessed your account.

6. How the marketplace works

Sellers submit photos of an item; our AI returns an appraised offer; if the seller accepts, the item is listed for a short window in which approved resellers can buy. If the item is bought, we pay the seller and arrange shipping to the reseller via Australia Post. If no reseller buys within the window, the offer lapses and the seller keeps the item.

7. Pricing, charges, and GST

Snapell is GST-registered. All prices shown to resellers include 10% GST, which we collect and remit on your behalf. Sellers do not charge GST and are not required to be GST-registered to sell a personal item on the platform. Each reseller receives a tax invoice showing the GST line and Snapell’s ABN. Our platform charge and shipping recovery are taken from the reseller side of every transaction; the seller’s offer is what the seller receives.

8. Payments and Stripe Connect

Payments are processed by Stripe under their Connect Express terms. Stripe holds funds, performs identity verification on sellers, and pays sellers into their bank account or PayID. Snapell does not directly hold or move fiat money beyond the Stripe balance. Stripe’s own terms apply between you and Stripe.

9. Consumer rights and disputes

The Australian Consumer Law (ACL) applies automatically to every transaction. You cannot contract out of the consumer guarantees of acceptable quality, matching description, and fitness for purpose. Snapell’s dispute policy exceeds the ACL floor: there are no buyer’s-remorse returns, but resellers are refunded in full for items that turn out to be counterfeit, materially misrepresented, lost in transit, or otherwise fail a consumer guarantee.

Disputes are raised within the 2-day window after delivery; once raised, the ACL governs how long Snapell has to resolve them. We aim to resolve every dispute within 30 business days. If you are not satisfied with the outcome you can escalate to your state or territory consumer-affairs body, or the ACCC.

10. Language we use carefully

Snapell does not authenticate items. We appraise items from photos using AI and human review. We describe items as "AI-appraised" for condition and description; we do not describe items as "guaranteed authentic". If an item turns out to be counterfeit we refund the reseller in full and act under our Counterfeit Policy below.

11. Acceptable use and counterfeits

You agree to follow our Acceptable Use and Counterfeit Policy. That document lists items we do not accept (such as underwear, swimwear, lingerie, children’s clothing, and items with active company branding), and explains how we handle counterfeit reports.

12. Intellectual property and takedowns

We respect brand owners’ rights and provide a dedicated takedown channel. If you are a brand owner and want to report an infringing item, follow our IP Takedown Procedure. We keep a record of every takedown decision in our audit log indefinitely.

13. Liability

Nothing in these Terms excludes any right or remedy that cannot be excluded under the Australian Consumer Law. Subject to that, Snapell’s total liability to you for any one transaction is limited to the amount paid through Snapell for the item in question.

14. Suspension and termination

We can suspend or terminate an account that breaches these Terms, our Acceptable Use Policy, our Counterfeit Policy, or applicable law. We give written reasons for any termination and a reasonable opportunity to respond unless we are required to act immediately to protect other users or comply with the law.

15. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above shows when this version was published. Material changes are notified to active users by email before they take effect.

16. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and Snapell submit to the non-exclusive jurisdiction of the courts of New South Wales.
